john et al re: restricted shares. My broker buddy tells me just now that restricted shares would normally be paid dividends same as any other shares of the same class. With restricted shares certificates are issued with a time limited trading restriction stamped right on them, ie. shares cannot be traded or transferred before xxx date.

That does not necessarily mean that the stock cannot be traded in round about ways. A holder of restricted shares could 'borrow' shares from someone, short the stock, then replace the 'borrowed' shares with his own after the restricted time limit.
