Minorca Resources Inc. - Company Update
TORONTO--(BUSINESS WIRE)--June 10, 1998--Minorca Resources Inc. (TSE:MAR. - news; ME:MAR. - news) Minorca Resources Inc. (''Minorca'' or the ''Company'') announced today that it is not pursuing any type of business combination with Dayton Mining Corporation [AMEX:DAY - news]. Minorca has formed a special committee of its directors to review its strategic alternatives for the Company.

Mr. Alfred Lenarciak, Chairman of the Company, has resigned from Dayton's board of directors and Mr. Roland Horst has resigned from Minorca's board of directors.

Minorca also announced today that it will not be proceeding with its proposals to amend the stock option plan to increase the number of options available under the plan and to reprice all outstanding options to $0.80 at its upcoming annual meeting to be held on June 17, 1998.

VANCOUVER, British Columbia--(BUSINESS WIRE)--June 10, 1998-- Dayton Mining Corporation (AMEX:DAY - news; ''Dayton'') (AMEX:DAY - news; TSE:DAY - news) announces today that Mr. Alfred Lenarciak has resigned from the board of Dayton for personal reasons. Mr. Lenarciak will therefore not stand for re-election at the upcoming Annual General Meeting of Dayton.

In addition, Mr. Roland Horst, Chairman, President and CEO of Dayton, has resigned from the boards of Minorca Resources Inc. and McWatters Mining Inc.
