Digital Holders OK Acquisition By Compaq

WESTFORD, Mass. (Dow Jones)--Digital Equipment Corp. (DEC) shareholders approved the acquisition by Compaq Computer Corp. (CPQ) at a special meeting Thursday.

In a press release Thursday, Compaq said it will issue about $4.5 billion cash and about 141 million shares, based on an exchange rate of $30 cash and 0.945 Compaq shares for each common share of Digital.

At of the close of the market Thursday, Digital common shares will stop trading on the New York Stock Exchange.

Compaq's NYSE-listed stock was off 3/16, at 28 1/2, in early afternoon trading Thursday, on composite volume of about 6.2 million shares. Average daily volume is 17.2 million shares.

Digital develops, makes and sells client/server software and computers.
