Dennis, I'm not 100% positive, but no, they cannot sell before filing. That is the purpose of the S-3. The fact that 45MM shares are coming to market will put a ceiling on the price.

Of course, should the company prove successful, it won't matter.

The shareholder's meeting is this Monday, by the way.
