As of today I have not received mine either. I would agree there is a up side to the merger, than ATCT going alone.

If my memory serves me well it was at the front of the s-4, under the "to stockholders of ATC..." item 2. It stated something to the affect that there are 27mill shares outstanding and that they want to authorize having up to a 100mill outstanding shares. Thus the 70 or 75 mill increase I mentioned.

That being that, I reread the ATC justifications. Specifically in relation to finances. I think you make a good point regarding this issue.

When I look at the possibility of having 70 - 100mill shares out there, I come up with the following: If earnings are relatively the same as they are now (for ATC), assuming a collective $150 mill, we're looking at $1.5 - $2/share. So it's possible that we end up with the same, more likely a little less, share value than we have now, with the added debt, but with the added financing, and better management
-- So we may end up with a higher mountain to climb, but we have more muscle and more potential.

So I must eat crow and change my mind. Though, I will continue to assess until I get my ballot and vote.
