Rich,

I don't understand your post. ATCT is going to issue 33.5 million
shares for all of the outstanding stock of IQI (exchange ratio of
9.7513 to 1). ATCT currently has about 21.5 million shares out. And
there will be about 2 million more for the warrants. To me, this looks
like about 57 million shares outstanding for a company with sales of
about $250 million.

There will still be over 40 million shares authorized, but not sold.
