Well, there you have it, in black and white, all nice and legal in an SEC filing...The $1Mil is sitting in escrow.

Escrow - When the performance of something is outstanding and a third party holds onto money or a written document (such as shares or a deed) until a certain condition is met between the two contracting parties.

I like that. A third (impartial) party holding onto the cash. And the best thing about it, is that cash in escrow (usually) accrues interest. I'm sure Jack will bring in to the Judge the name and phone number of the escrow company next Tues as part of his motion.
