Technology Stocks : COMS & the Ghost of USRX w/ other STUFF -- Ignore unavailable to you. Want to Upgrade?

All... thoughts at large::::: USRX combines with 3 Com and brings proprietary modulation/software technology(modems). As a kicker it brings networking capabilities equal to ASCND (RAS). USRX combines with a leader in NICS and visionary products for enterprise. This combination creates an end to end networking synergy that appears to be second to none. Yet, on a day like today Ascend is up???Just the networking parcel of Coms is equal to Ascend.Throw in (modems/proprietary technology) which is invaluable as part of the parcel and yet we don't equal the valuation of lightweight Ascend???
Further thoughts... Cisco and the shareholders right provision....Why?? Is the invulnerable? Vulnerable? Is management concerned about it's share value in passing a shareholder rights provision?..Or are they protecting their own(managements butt).
Is this shareholders rights implemented because they may have missteppped and COMS has a 6 month technology jump? Has Cisco run out of technology buys and COMS has proprietary technology thats not for sale, and not available to Cisco? At this stage of the game just who is in the drivers seat??? 3Com..Cisco..or Ascend???
I got a whole bunch of COMS,
Walt
