I only scanned Glen's documents but I will look closer Sunday night. I also have a couple of buddies that are CPA's and I will ask them some of the items that an MBA in operations research can't answer.
The only items that did jump out at me were, no employment contracts so, I assume, no non-competes. Whoever is the technology architect should be handcuffed. Then there's < The Company has experienced earnings before interest, taxes, depreciation and amortization ("EBITDA") losses since inception.>
As I said, I'm not an accountant, but I have never! ever! seen so many'EBITDA' statements in my life. Amzn's CFO, this Ms Covey (who by the way is being interviewed this weekend on Aol's MF), has been able to throw what was General Accounting principles out the window for good. Actually IMHOP, she's the real brains at the balloon.
