Mr. Lionel Raber reports The company has arranged a brokered private placement with Whalen Beliveau consisting of an offering of 4,000,000 units at 40 cents per unit for total proceeds of $1,600,000. Each unit will consist of one share and one warrant. Each warrant will entitle the holder to purchase one share of the company at 80 cents per share for one year. Whalen Beliveau will receive a commission equal to 10 per cent of the gross proceeds of the financing. In addition, the company will issue to Whalen Beliveau warrants to purchase a number of shares equal to 8 per cent of the total units sold pursuant to the private placement. The proceeds of the financing will be applied to conduct research on the treatment of agricultural organic waste. The company has recognized the environmental problem posed by agricultural organic waste and the potential for profit resulting from a technological solution which could address this environmental problem. The company has agreed to acquire from Thermo Tech Technologies an exclusive licence for the province of Manitoba for a price of $200,000, subject to the completion of formal documentation. The licence will grant the company the right to apply Thermo Tech's thermophilic aerobic digestion technology for the treatment of agricultural waste. The company will apply the balance of the proceeds of the offering to undertake the required research and development necessary to exploit this technology on a commercial scale. The company intends to develop a working farm test facility as part of this research and development in order to demonstrate and prove the commercial application of this technology.
