PS - I hadn't thought of reg-s.

And Kevin, it is true there is a large difference between the float and total shares outstanding. Many of the shares are restricted. But still dillute common.

Generally when a purchaser uses restricted shares, they must issue more (pay a premium) for the lack of liquidity (waiting 3 years to trade).
