I dont think Bay had a choice. Even though people kept applauding its products, Bay really had nothing that others did not have or was not available at startups (all their top engineering talent had left years ago). Bay's main strength was its channel relationships. Furthermore, Bay could not continue to function with the onslaught of rumors. The president job offer was icing on the cake.

Its not clear if LU or anyone else would have wanted Bay anyway.
Another merger (NT and Bay) to take on Cisco, in all likelihood will fail.
