I'm not so sure MSFT is selling SoftImage as much as it is buying a stake in Avid.

NEW YORK, June 15 (Reuters) - Microsoft Corp. said
on
Monday it will sell its SoftImage special-effects software unit
to Avid Technology Inc. , the top supplier of
video-editing software, in a deal valued at $285 million.
In return, Microsoft will take a 9.1 percent stake in Avid
and hold a warrant to acquire more shares after three years for
a potential total of up to 12 percent of Avid.
