Frank,

Thanks for the comments on BMRQ and UTR, but I luckily abandoned this ship a week or two ago following the WDC announcement and the general malaise in the Semi sector. (I had purchased BMRQ to get into UTR, so I'm doubly glad I decided to sit this out.) Every reason I was interested has turned negative.

UNITRODE CORP. Reaches Amended Merger Agreement with BENCHMARQ

June 24, 1998, Unitrode Corp. (NYSE:UTR - news) and BENCHMARQ Microelectronics Inc. (Nasdaq:BMRQ - news) announced that their
respective boards approved an amended merger agreement.

Under the terms of the revised agreement BMRQ stockholders will receive one share of UTR common stock for each share of BMRQ common
stock outstanding, with this exchange ratio not subject to further adjustment.
