Although I would love to see an immediate high price on this merger, it is my belief that "investors" will do fine. NT share appreciation has been good the last few years-Look at the chart. The future for the industry is good.

House responsibility is to shareholders and I think he has done well (at least for me) and I believe my converted shares will continue to appreciate at a much higher rate than they would have as Bay. I plan on selling for a price over 38 within a year.

I am encouraged by the morale of the Bay employees such as Cruiser and have appreciated their insights. Their efforts will assist in my share price targets.

Re -- How could House et al fulfill their fidicuary responsibilities by turning down an offer that was within 10% of the 52 week high,

Wonder if House et al would have accepted the offer, if he was not offered the presidents job ( we will never know this will we). Actually he may have failed his fudiciary duty, by not courting other suitors.

Furthermore, most companies (DEC) sell out after establishing a couple of good Q's, if Bay had a good Q, then the price of 38 may have stuck.

Its also unclear, if Bay broken up would not have ended up being worth more.

I think the whole deal stinks, was done arbitrarily without careful consideration and working out the details before communicating it to the street. I suspect that House's tenure at NT will be limited.

THIS SAYS A LOT OF WHAT THE FUTURE WILL HOLD FOR NT. I for one wont hang around.

The market valued it for what it is a bunch of promises with no clue on what to expect.

One other thing, NT also had no choice, they have to "transition" themselves into a fast moving company if they are to be a player with LU. Thus Bay could have commanded a higher price.

Ok, excuse me, I'm a little slow on this merger stuff. If the deal consumates will NT pay $38/share or 60% or their own share price at time of consummation? ie probably less than $38. Therefore the market is saying they don't think the deal will be consummated and therefore won't currently buy Bay at more than $30-31/ Is this the basics of the deal? Please straighten my aim if possible. EH
