<<Venture capitalist generally do seed funding of start up via private placements, <<

That is utter nonsense-- that IS my business. VC's do not do PP Einstein-- they already have the cash. The do an IPO as an exit strategy-- not to get in!

And VC' rarely do "seed" money-- and by the way it is called "Start-Up" not "seed", then you go to Mezzanine, 1st Stage, 2nd Stage...

Or you could do a MBO or a LBO, or Corporate Equity, Divesture, Acquisition, etc...

Most start-ups find an Angel for start-up money-- VC's won't unless you have a killer resume and patents, etc...

Secondary equity offering? More dilution if straight common, if anything like a floorless convertible preferred, pure death.

Another possibility: they could do a reverse split, and then quickly issue a LOT more of the authorized shares. This would raise some cash, though it'd be a real bummer for the stockholders. Anyone know how much is authorized?
