How NT and Bay got together:

The following link came from SI: NT thread. It explains the get-together. It says the actual deal only took 5 weeks(which means the story started leaking only two weeks into the deal). Fleshes out some of the theories we have discussed on this thread:

Dear Paul - the only thing I interpret slightly from yours is that breakup scenario - the only one that can affect the deal is on the side of BAY [counteroffer is more likely than shareholder revolt, especially if she failed to recover from 1 Q disappointment.] The reason is pure and simple. BCE has already given its blessing - and it holds 51% of NT! Interestingly, lack of collar works both ways. Of course, there is still a lot of details small fries like us don't know - and probably don't care until it happens - such as breakup penalties etc.

Best, Bosco

Paul: Do you not find it strange that the memorandum of agreement has no penalty for walk outs , no floor and no caveats. It looks each has accepted the risk/reward of the other.

I do not think Mr House will risk being tripped up on Earnings prior to the set date. I think that will be logical and could be discounted.

For every seller there are Buyers. I think Mutual Funds Managers are having a field day. One group of Funds shorts and the other holds.
By shorting against the box they can maintain what ever price suits them. That way they can mop up any shares from Individuals who are nervous. Finally when they unwind their shorts they have a tidy
holding of shares they got from the small fry at a lower price.

The earliest sign of an uptick will be signaled by decreasing volumes.
Till then it may be best to stay the course.

Paul,

Thanks for your inputs - more constructive than a lot you see on SI.

I'm considering NSPK which has taken a real pounding recently - do you have any thoughts considering your 'aggressive contrarian' investing style?

The deal with Motorola seems to guarantee them a revenue flow, they're signed up wth MCI, and VoIP is supposed to have great potential. I can't tell if this merger is in their favour or not - depends on NT's in-house skills/technology here. If they don't have this in-house then this should be a good break for NSPK

Any comments appreciated
