But, BlueFox, the rest of the paragraph supports the very first line. It is, one more time, 80% Zulu and 20% ESVS of the resulting entity. From the beginning of the paragraph to the end of the paragraph, it says the same thing. I believe the pro rata dilution affirms the 80% Zulu to 20% ESVS. I believe you're interpreting the section incorrectly. If you ignore the "date hereof" qualifiers, it could mean 80/20 anytime. With the qualifiers, I believe it means it would have been 80/20 on that date. BF
