Notice Other Chap's comment earlier in the day about only one more penny to go to hit .30? Tell me he isn't working for a market maker. Tell me the price of this stock isn't being manipulated.

Heck, good appointments made for companies listed on Nasdaq sometime are worth a whole point rise in price. And all we can get is a penny or three increase, only to lose the next day and the day after and the day after?

I'm sorry, logic and sound reasoning tell me that there are other forces at play here. Personally, I'm not going to let 'em shake my shares out of the money tree. I'm holding on and adding when I can.

I will only admit, however, that "shall be" would be preferable. But there is nothing to detract from "will be."

I think we're talking apples and oranges here. I don't disagree the capital structure (ie, number of shares out there) is the same. What I disagree with is the valuation. The section limits either party from issuing a new series of shares in order to increase there market value to unbalance any merger, combination, etc. Thus, if ESVS manages to issue stock for the private placement and raises the $50,000,000, the value of those shares won't be used in a valuation of the companies. The valuation at the time will be based on the same outstanding share structure that existed the day the agreement was written.
