TXN simply traded hard assets in the DRAM business plus some cash for convertible debt backed by those assets, plus an equity stake. Result is greater liquidity with a fixed cash flow and some upside if MU succeeds. TXN is definitely NOT OUT of DRAM with this transaction, just a passive investor with a strengthened MU. MU now the largest in the world in DRAM. Rating agencies are taking down TXN's debt rating because of the big writedown and hit to equity on the sale.
