David, yeah, but where does this fit in:

In addition to TI's memory assets, Micron will receive $750 million in financing from TI to facilitate the deployment of Micron's technology throughout the operations

I read it as an $800 million acquisition (the memory assets and assumption of $190 in debt in exchange for stock, convertible debt, and subordinated debt) with a $750 million unspecified "financing" kicker thrown in there.

That little "financing" kicker is almost as large as the "acquisition" portion.

You buy our stuff for $800 million AND we'll throw in $750 mil. in financing to help you make use of what it is you're buying from us.

I have to be reading it wrong.

Either that or whoever did the deal couldn't negotiate a hungry man into eating a tuna sandwich <g>
