Skeeter, more like 40 MM and the last 12 MM shares at about $61/share, mind you. Maybe TXN knows something our bears do not accepting a conversion premium at three times the market. Or maybe MU management is even smarter than I assumed, persuading TXN to take on such a deal and possibly, TXN wanted to eliminate from their future P&L $100 MM yearly losses, and MU could possibly (with a nice injection of $750 MM in CASH) bring these operations to MU's standards.

Having said all this, I still think that MU is facing some hard times, but on the next upturn in DRAMS, they will be king of the pile, and the market might very well look a year down the road to that possibility. We have a summer rally coming, and MU might very well shoot the opening volley.
