hey, they are in deep trouble, bull denial not withstanding ;-), and that requires drastic action. this was one option.

They had their report on TXN out in the same time period.
There's no way they could have gone from "Hey, whaddya
know, TXN and MU just did a deal, sez so right here on
the internet!" to issuing reports on both players, in an
hour.

For comparison, it took two full days for them to
downgrade AMD's debt after their last earnings report
(April 7-9, 1998).
