I will freely admit that have been posting my views mainly on management's notion of business ethics, lately. I honestly believe this is just as important as the numbers we are waiting for. However, I strongly reject your assertion that I am making the same posts over and over again. You might want to check my previous posts.

I would like to see the new management embrace a standard of business ethics that is beyond reproach. Unfortunately, the information contained in the Management Voting Proxy does not give me the impression that this is going to happen.

What has current management done which is unethical?

Nothing. But tacitly approving of previous management's unethical actions IS unethical, IMO.

Do you have substantive proposals?

Yes. I sent them to Mr. Kemp yesterday. I'll let you know if and when I hear back.

It is not illegal to have an offshore account.

That is probably true. But what if the offshore trust is used to circumvent insider trading requirements and limitations. Now that gets tricky, doesn't it?

A no one said or implied that this was illegal, except the reader.
