Chip, my understanding is that quarterly EPS calculations include the average number of shares outstanding during the quarter. Because of the secondary offering in the end of March 1998, the average number of shares outstanding will be higher for Q2 and beyond (i.e., in Q2 TDFX must earn more to come with the same EPS as in Q1).

As for the release of the lockup shares in itself it does not change the number of shares outstanding.
