Dear Mark - it seems to be quite obvious [to me anyway] triple witching will [and did] outdo any other kind of motivations this week - and into Monday. So no surprise there!

Concerning BCE, it has already given its blessing. Also, considering BCE has 51% of NT as of now, I don't think Messr Roth would be able to make the offer without the approval of the BoD [or the equivalence of the canadian corporate governance] in which BCE will have significant representations. I submit this is simple deduction.

Regarding breakup fee, I ve yet to ascertain the reality of that $274MM item allegedly seen on the court papers; however, if it is true, it seems fair that it is bi-directional. Of course, knowing the obsession of legalese these days, I am not surprised there are other [penalty and escape] clauses in the agreement.
