DD,

Any corporation is required to have a registered agent in the state of incorporation. Most large corporations are Delaware corps due to very lenient laws of incorporation. Thus, Delaware does a very lucrative business in the registered agent business.

Agents are responsible for insuring that all corporate documentation is properly filed and also serve as the offical mailing address for purposes of legal service.
