DD, the poison pill is standart stuff, but GMP's problems with the regulatory agency is the real concern. From S & P :

"In late 1996, the Vermont Public Service Board (VPSB) issued a proposal to start competitive retail sales of electricity in the state by January 1, 1998. Transmission and distribution would remain regulated under the proposal, and the VPSB believes that affected utilities, including GMP, would have the opportunity for full recovery of non-mitigable stranded costs. However, a bill passed in April 1997 in the Vermont Senate (which requires passage in the House of Representatives) provides that stranded costs be shared equally between utilities and customers, a provision which GMP believes jeopardizes its financial viability. In October 1997, a committee formed by the House voted not to recommend customer choice at this time. However, if future legislation is enacted that threatens GMP's financial integrity, GMP will pursue all remedies available to it under the law. "
