Wilmington, Delaware, June 16 (Bloomberg) -- Bay Networks Inc. was sued by a shareholder seeking to stop the planned sale of the No. 3 maker of computer-networking equipment to Northern Telecom Ltd., claiming the price of 0.6 share of Northern for each Bay share is too low.

Based on the stock prices immediately before the takeover was announced Monday, the transaction was valued at $9.1 billion and represented a 35 percent premium to Bay shareholders. Northern Telecom is North America's No. 2 telephone-equipment maker behind Lucent Technologies Inc.

Stockman
