Well, rather than think about silence from the company--I don't usually talk much either before I show my poker hand--let's examine something we should be looking at closely, the appointment of Roger Mincheff, our real fearless leader here.

Here's the release announcing him:

>>> Roger Mincheff Appointed President of Enhanced Services
Co.

PR Newswire - May 07, 1998 08:38

ESVS NETZ %CPR %MLM %PER V%PRN P%PRN

HOUSTON, May 7 /PRNewswire/ -- Enhanced Services Co., Inc.,
(Nasdaq: ESVS) today appointed Roger Mincheff to President. Enhanced recently
entered into a strategic investment in ZULU-Tek (OTC Bulletin Board: NETZ),
and the two companies are pursuing a joint business combination(A). As
President, Mr. Mincheff will play an instrumental role in combining Enhanced
and Zulu into a single enterprise that will provide the most comprehensive
solutions for conducting business on the Internet. The companies have
developed a three-pronged strategy which blends experience in online
advertising sales, strength in technology, and ability to leverage both to
create long-term, mutually-beneficial partnerships.<<<

Let's see now, we used to have merger doubters who attempted to deny what was right before their eyes. Above we have yet another clearcut statement that the two companies will become one. Read where it says: "Enhanced recently entered into a strategic investment in ZULU-Tek (OTC Bulletin Board: NETZ), and the two companies are pursuing a joint business combination(A). As
President, Mr. Mincheff will play an instrumental role in combining Enhanced
and Zulu into a single enterprise..."

>>>"The explosive growth in this industry, combined with the strength of
our business model and key corporate acquisitions firmly establishes us
as a leader in the interactive field," said Mr. Mincheff. "What will define
us in the upcoming months is our ability to give our clients business models
and marketing solutions that work."

Mr. Mincheff is regarded as a pioneer in the online marketing field, as
one of the few leaders that has been groomed by the industry. As former
executive vice president of Zentropy Interactive, a web content and online
marketing company, Mr. Mincheff developed marketing solutions for major
entertainment, fashion and corporate brand clients, and was instrumental in
establishing Zentropy as a premier company in this field. Before joining
Zentropy, Mr. Mincheff was the online marketing manager for Philips Media, a
division of Philips Electronics. Previously, he was the director of marketing
for EarthSpirit.<<<

Does everybody have a fine understanding how big Philips Electronics is? This company is as big as they get.

>>>"Roger understands the dynamic of the online marketing world," said
Steve Lair, Chairman of the Board of Directors. "His background has uniquely
prepared him for succeeding in this rapidly changing industry."<<<

I think when Mr. Steve Lair passed out the cigars to celebrate the Mincheff appointment, he knew who he was handing them to. Would Lair have gotten the same podium at the upcoming conference? Hmm, good question.

>>>With his prior experience in these fields, Mr. Mincheff has played a key
role in attracting new employees to upgrade Zulu's management and technical
teams. As President, one of Mr. Mincheff's key priorities is to continue
aggressively hiring key personnel and seeking strategic acquisitions.<<<

Note where it says "as president." At the conference his title as the keynote speaker is as the Zulu "president." Also, not only do we now know he can land top-notch people, but he also is able to assure leading industry industry and sector presence and presentations relative to online advertising sales and marketing.

You know what?

I think the reason folks are paying so much money to attend this conference is that those in attendance each know that online advertising technology is going to soon take its prominent place. And many are willing to pay top dollar to get a step ahead of the competition in order to learn the details of this. None of the big players, when it comes to advertising, wants to be caught short. I gurantee you this.

and compliance with Nasdaq rules.

And, of course, the qualifying terms regarding the merger being subject to shareholder and SEC approval. Overall, everything looks quite nice.

"The explosive growth in this industry, combined with the strength of
our business model and key corporate acquisitions firmly establishes us
as a leader in the interactive field," said Mr. Mincheff. "What will define

I also like where it states the following: ".... As President, Mr. Mincheff will play an instrumental role in combining Enhanced and Zulu into a single enterprise that will provide the most comprehensive solutions for conducting business on the Internet."

Think: "...the most comprehensive solutions for conducting business on the Internet."

What does this mean?

The technology to deliver the ads coupled with the sales and advertising is where we've concentrated most of our analysis. What exactly does "conducting business on the Internet" mean?

Does anyone believe that Zulu is, at present, sufficiently poised to conduct fullscale electronic commerce? Will another acquisition(s) be necessary to compliment all e-commerce elements that are envisioned? Or will Zulu also link into another strategic alliance with a major player? And don't answer "Mickey Mouse" because, outside of the appointment of Mr. Green, our little mouse friend is still a fantasy.

More likely, hot boiling water, or poisoned arrows?

I remain positive, but also concerned re stock exchange in event of merger. That is the big unknown right now, for me at least.

I don't see how company could sell a 10 for 1 split, as some suggest, without a lawsuit from Zulu investors. Especially, after ESVS has already been diluted by 1/2, meaning we would be getting equivalent of 20 for 1 ratio.
