I emailed the company to get clarification on the insider

These shares are restricted for 12 months. There are no provisions for insiders to receive free trading stock. Once they have received the stock that is a buy. No selling may take place for at least 6 months from the balance of their portfolio of other shares which have been released only by approval of their corporate attorney or through a S-8 registration.
All insiders fall under the 144 restrictions.
