Infocall to Acquire Advanced Compensation Services

VIENNA, Va., June 23 /PRNewswire/ -- Infocall Communications Corp. INFE an emerging leader in Internet-based staffing and employee leasing services today announced the Company has entered into an agreement to purchase all of the assets of Advanced Compensation Services, L.L.P. of Virginia.

Advanced Compensation Services (ACS), provides staff leasing services to clients in the government contract services industry. Since their formation in June, 1997, ACS has grown from monthly revenues of $790,000 in August of 1997 to $1.8 million in May of 1998. Current ACS customer contracts produce annualized revenues of over $30 million per year with additional contracts pending. These staff leasing revenues are projected to exceed $150 million in five years.

According to Infocall's CEO Tom Richfield, "Staff leasing is the fastest growing segment of the personnel services industry. Our acquisition of ACS positions us to leverage a highly successful business model to grow our revenues exponentially."

According to Q. Garner Umphrey, ACS managing partner, "We are pleased to align our future with Infocall to take advantage of their marketing and business development acumen. As part of a public company, access to capital resources to grow the business which were previously unavailable will make a tremendous difference. This is a win-win for both companies and shareholders."

ACS brings to Infocall staff leasing contracts with 1998 annualized revenues of over $30 million. This represents more than a 400 percent increase since this time last year. ACS is highly profitable and has no debt on its balance sheet.

Infocall will pay cash and restricted stock, including 100,000 shares taken from the public float, which will be subject to restrictions.

According to Richfield, "We are confident that this marriage of ACS and Infocall will be just the beginning in a plan of strategic acquisitions that will propel us to a major stock exchange as soon as possible. We have plans to find additional acquisitions in the Information Technology and Staff Leasing Industry to accelerate our growth."
