Michael,

I think some of the issues I raised are important in the calculation of pro forma earnings and some might be offbase. Perhaps someone who is more of an expert in FAS 123 would like to contribute.

However, today's upgrade by DMG has me not caring as much about the details of FAS 123. I think the trend has changed for WIND and the new mentality will now be "buy on dips", not "sell into rallies"

I was able to read Deutsche Bank's report and they mentioned it was their first upgrade of WIND in four years. DMG likes Wind's leadership position in the embedded market, feels that I2O is starting to ramp up, feels that WIND's forward looking PE is at historic lows, and views Wind's competitive position to be very solid, despite Microsoft's overtones.

Good luck to all shareholders.
