I think this is right but correct me if I'm wrong:
If you own 1 share of TCOMA you get 0.775 shares of T.
If you own 1 share of TCIVA you get 0.52 shares of LBTYA and then some amount of a new tracking stock from AT&T.

I've heard concern that TCI's heavy debt will be an albatross around AT&T and thus the new stock will go down. But what other company can offer communications and content of every type of medium short of two cans and a string? This will be a colosus of a company but if the can stay organized and managed effectively...

This Bloomberg story is reporting that the tender offer was about $50.71/share in stock and debt:
