Marc and all from the THQ board MPRS 10K:

P.S. Her is Microprose's 10K. Not a pretty picture.

The company is again out of compliance with NASDAQ NMS listing requirements. In addition, currently they are out of compliance with even the Small Cap listing requirement. If MPRS gets de-listed to BB status they are out of compliance with their bondholders and would be forced to buy back these bonds which of course they would be unable to do. Back in Feb., when the reverse was first announced, I warned of this exact scenario and wanted the company then to simply take the demotion to the Small Cap and not do the reverse - my previous experience with reverse splits unfortunately, has followed this exact same route to BB status. What should the company do? Sell to the highest bidder as soon as possible - unless they can obtain additional financing they will never see '99 and of course, providing support for the new Dreamcast console would be be a Dream. MPRS's back catalog and some of their new games are very good and should be worth 2 x trailing sales or $120M and $20.00/share.
There is no question in my mind that they are shopping the company. There are rumors that MWY, Hasbro and THQ are visiting company in Austin, TX. It is also known that Eidos is looking for acquisitions. Lets hope for the shareholders sake, that one of these companies makes a reasonable offer and assumes MPRS burgeoning debt.
