Honestly I am not completely confident in my response, but it is my understanding that any company can become fully reporting at any time as long as they have the time and energy to complete the rigorous requirements of completing all the required documentation and current audit and reporting of all financials. As part of complete reporting, any known material events subsequent to the audit period must be disclosed in the 10k, 10Q or other reports.

It is an absolute requirement that all issued, outstanding and pending stock transactions as well as restricted shares and details of any and all convertable or otherwise incumbered financing.

It is costly to initially become fully reporting, and IMO most companys end up taking more time than they anticipated in meeting the requirements.
