FINANCING / Petrobank - Final Closing of Private Placement

JUNE 26, 1998



CALGARY, ALBERTA--Petrobank Energy and Resources Ltd. announces
that it has closed the second tranche of its previously announced
private placement of 2,055,000 special warrants. Each special
warrant was sold at a price of $2.00 for aggregate gross proceeds
of $4,110,000. The concluded offering raised total gross proceeds
of $9,460,000 from the issuance of 4,730,000 special warrants.
Each special warrant is exercisable to acquire one common share
for no further consideration.

Petrobank Energy and Resources Ltd. intends to use the proceeds
from this private placement for its ongoing exploration and
development program.

First Marathon Securities Limited and StephenAvenue Securities
Inc. acted as agents for this offering.

Jim Tocher, Chairman and Chief Executive Officer, is pleased to
announce that Kevin L. Adair has been appointed to the Board of
Directors as of June 24, 1998. Kevin Adair became President and
Chief Operating Officer of Petrobank in April, 1998 and was VP
Engineering and Production with Petrobank prior thereto.

CALGARY, June 26 /CNW/ - PROFAB Energy Services Ltd. (''Profab'') is
pleased to announce that on May 29, 1998 it acquired all of the issued and
outstanding shares of Bimac Industries Ltd. (''Bimac''). Bimac was founded in
1978 and is a manufacturer of modular systems such as compressor skids,
separator skids, meter and ESD skids, pressure vessels and other oilfield
related equipment. Bimac is located in the East Foothills Industrial Park in
S.E. Calgary and has 36,400 sq. ft. of shop space on 9.5 acres of land.
