TNRG has an 80% interest in Chongquing Dazheng Emporium Co. Ltd., a Chinese holding company for a shopping center located in the province of Szechuan.

The purchase was made with convertable debentures and carry an interest rate of 8%. The debentures are convertable at $3.00 a share.

Chongquing still owns the remaining 20%. Tnrg has the controlling interest.

The revenues are currently 144 million. Net retained earnings last year were 5 million. Typically mall retain revenues are in the neighborhood of 10-15% of gross revenue.

The mall was previously managed in a way where cost were being wasted, and opportunities to increase the bottom line were being let slipped by.

TNRG is a holding company that searches for opportunities to acquire businesses or project that have the potential to increase significantly in value.

It is not an unrealistic acheivement to increase net retained from 5 million (3.4 %) to 10 million (6.8 %) in the first year. Tilton brings with him the knowledge necessary to improve the costs associated with buildings (I.E. heat/air conditioning costs, wage costs, maintenace costs, etc)

You questioned that a mall company wouldn't just be willing to give up 80% control of a mall, but you forget to look at it in the eyes of the mall.

They now get 8% guaranteed for their debentures, with the option of converting them into shares in TNRG.

If you had a mall that was worth X amounts of dollars, how many buyers do you think there are for a mall , in the world with cash on the table? Slim to none. Those that do have the cash don't want to make cash offers, they'd rather do a stock trade like Tilton did.

There are so many benefits to doing business with china right now that you just wouldn't believe. Did you know that chinese teenagers are nuts for anything american? Did you know they will pay 10 , 20, even 50 times more for american cosmetics and clothes? Did you know that the cosmetic business in China alone is over 100 billion a year?Did you know that it is increasing by almost 10 % a year. Where do americans get most of their clothes, makeup , and food???in a MALL.

Why would an american company move into a chinese mall, in one of two provinces trying to promote free enterprise?? Could it be they have access to the products the chinese want, but have a difficult time getting???

The people holding the debentures are just as excited about TNRG as the shareholders are.

While we have thousands or tens of thousands invested, They have MILLIONS invested. People who invest MILLIONS into a company don't blindly rush in. People who invest MILLIONS don't do so for a momentum ride. People who invest millions do not "do it with a gut feeling"

People who invest millions get lawyers to check out every square inch of the company, before they invest. These people who invested millions obviously feel that the company is headed in the right direction towards the small cap Nasdaq.

Who am I to argue with people who invest millions into a company.

BTW TD BANK in Canada has almost 8 billion in mutual fund money invested in CHINA companies.

Fidelity has some 30 billion.

You really need to look at why many companies are heading for china.

You also need to look at why so many mutuals are buying into health related industries.
