It appears as though it includes; Wolf Key Holdings, ICE, and ECS. The big question is what impact this will have on present and future planned EPS? Any opinions out there?????

Big Ted, Here is what I found out about ECS. The company says the ECS deal is a separate deal. ECS was originally owned by Tofflerone.

Tofflerone owed money to another entity (Rothchild - this entity has other dealings with Tofflerone) and ECS ownership was transferred to Rothchild as part of a settlement. So GLOW then had to deal with the other entity (Rothchild) about ECS.

Tofflerone Corp owns:
- Wolf Key
- ICE

Rothchild owns:
- ECS

GLOW began negotiating the ECS deal with the new owner (Rothchild) and a new deal was restructured in April (after the April 1 announcement).

From the PR of April 28...

>>Additionally, Global is very pleased to announce that the ECS acquisition, which originally was a cash-plus-stock transaction, has been restructured more attractively and is now a stock-only transaction. The new ECS acquisition price is 2 million shares of free-trading Global stock and 4 million shares of restricted stock.<<

GLOW would like to complete the ECS deal provided it improves shareholder value, but it is not essential to GLOW's operations at this point.

ECS has not closed yet. GLOW has NOT issued the shares involved in the ECS deal. The 20 million shares mentioned in today's press release does NOT include anything to do with ECS. Again, GLOW says they will only do it if it's a good deal.

So, ECS is separate.

This information is not private or privileged information. I got it simply by asking and being patient.
