All the issues before the shareholders were approved without discussion. I wasn't aware of a poison pill issue though. The issues were:

Election of Directors

Approval of Amendment to the Restated Certificate of Incorporation

Approval of the Company's 1998 Equity Incentive Plan (1 million shares, I think)

Ratification Of Auditors

Richard and all:

I have not forgotten my offer to get management's response to the FAS 123 issue. Something is in the works, and you probably won't hear from me first.

Richard that is a question which should be explored, but suggest that you ask. It is better if more investors ask questions, rather than a few asking lots of questions.
