LAKERS, I told my broker today, I wanted out of PKGP/USXP. I hold a large and disproportionate position, much more than I can afford and am extremely concerned with capital preservation (LOL). I was prepared to bite the bullet, based on the news, the analyses of fellow posters, the bad vibes i got from Barbara Halpern over the phone yesterday-- and finally my own analysis/fear. In conjunction with this decision to dump at a monumental loss, I had faxed a number of posts to my broker, including some of your own. His response was as follows: why would you believe anything you read on the internet? People are posting whatever but it is not direct information. The company is behaving in a normal way as far as the RSs in regard to achieving NAZDAQ status. The dilution issue really is not an issue--many growing company's do it to raise capital for aquisitons and operations. He said, the real question is whether earnings growth, can support the stock price. I argued that Altomare appeared to have no concern for his shareholders and that he would not hesitate to trample them again in pursuit of his personal agenda. Broker asked: what would he (RS) gain by a dilution of shares? Didn't he himself own stock? Therefore, wouldn't it be in his best interest to avoid diluting the stock unnecessarily? In addition he liked the fundamentals, pointing out improved earnings, and the possible SkyNet aquisitions. Sounded logical. I didn't sell. After reading your post I am once again reviewing my decision. What alarms me is your statement regarding the two tiers of stocks, A and B. That would explain very clearly how and why RA will have no qualms about diluting the commons, while his shares remain protected. I will fax your post to my broker tomorrow. I am sure he will come up with an expanation on RA's behalf, and convince me once again to hold. Is the info on stock structure on the Edgar pages? TIA. Kevin A
