Energy Drilling Industries Inc. Declares Dividend

KEMAH, Texas--(BUSINESS WIRE)--July 1, 1998--Energy Drilling Industries Inc.
(OTCBB:EDII - news) announced today it will be issuing a Dividend to all shareholders coinciding
with the distribution of the new certificates. The Dividend will be a Warrant for additional shares of
the Company's stock; specific details will be announced shortly. ''We are most pleased to be
declaring a Dividend at this time to thank our shareholders for their continued support,'' stated
Daniel Dror, chairman of the board.

EDII has previously announced a formal change of its corporate name to American International
Industries Inc. Effective July 31, 1998, EDII stock certificates will be replaced by new certificates
at the appropriate time. ''A name change at this juncture is a natural progression for our growing
company and reflects EDII's dynamic development from its initial roots in energy-related businesses
to its expansion into five divisions and planned acquisitions of additional subsidiaries,'' Mr. Dror
concluded. Further announcements and additional stockholder instructions will follow. In the interim,
actual EDII stock certificates should be secured by all shareholders in anticipation of their
replacement. The company will continue to trade as ''EDII.''

EDII has five divisions: industrial, financial, oil and gas, real estate and entertainment. EDII assists its
subsidiaries, vertically, to build each division in its own field.
