completed a $16 million convertible preferred private placement with two investors led by an affiliate of Credit Suisse First Boston (CSFB) and including affiliates of Castle Creek Partners, a Chicago-based private investment partnership specializing in technology
investments. Under the terms of the agreement, Secure Computing sold 16,000
shares of newly designated Series C Convertible Preferred Stock for an
aggregate of $16 million. PaineWebber Incorporated served as the Company's
placement
agent on this transaction.

Terry--- There is a little resistance at 10 1/2. I think we may have broke it and will go beyond 13. IMO 15 should be easy if slow if numbers come out OK and next qtr will seem like a miracle. This is traditionally not a strong qtr but indications are it will be a good one and next qtr should really wake people up to this stock. Anywhere from 12 and under should prove to be a great buy in the next 5 months or so. I am still adding in this range...
