LETTER TO SHAREHOLDERS:
Packaging Plus Services,Inc.("PKGP"),renamed Universal Express,Inc.("USXP") effective today has determined,in the best interest of the Company and its shareholders, to effect a reverse split of its common stock in the ratio of 1 to 70,effective today(june 30,1998), and to issue warrants to its shareholders.

Accordingly, one new USXP share will be issued for every 70 shares of old PKGP stock held by you. Fractional shares of .5 or higher will be rounded up to the next whole number. Fractional shares below .5 will be rounded down to the next whole number. Shareholders holding less than 70 shares will receive one new share.

Also, for each 3 common shares owned after today's split, ONE "A" warrant for $6.00 and one "B" warrant for $10.00, for the purchase of one restricted purchase price, will be issued. The term of the "A" Warrant is 12 months and the term of the "B" Warrant is 24 months.

Please complete the enclosed TRANSMITTAL FORM and return it along with your PKGP certificates to the company's transfer agent as listed below:
