Since Safeguard is determined NOT to announce the next rights offering, perhaps we should:

Safeguard announces next Monday that it will spin off Pac-West Telecomm, Inc. to its shareholders in a rights offering. 6.4 Million rights will be offered with an exercise price of $5 each. 1 rights issued for every 5 shares of Safeguard held.

Recently purchased for $115 Million (Safeguard - $40M, WBCP - $30M, TL - $15M, SCP - $15M, and EnerTech - $10M), Pac-West will sell 28% of the company, or $32 Million, in its initial public offering. 3 million shares will be sold by the company, and the other 3.4 million shares will be sold by the investment group led by Safeguard.

The IPO will be completed in the 3rd quarter of 1998.
