Other than the obvious effects of dilution of stock and the benifits of better liqididy what are the other ramifacations of this action? They certainly want everone to know that they are on the acqisition trail as they have mentioned it prominantly in the last 3 or 4 press releases. Perhaps something new is right around the corner.

LET ME BREAK THE DEAL DOWN FOR US...

1. WE take out 70 million preferred hanging over us.

2. We issue 3,000,000 common at a 5 % dilution to us.

3. We issue $ 20,000,000 Convertible, convertable after 2 yrs, for 50,000 shares quarterly for 10 years ( 5,000,000 shares total (this means whoever is getting the stock believes it is worth $4 base)) giving us a 1 % dilution to our earnings starting in 2 years total 9.2 in 10 years.

4. We issue $ 43.7 in Redeemable Preferred, redeemable starting in 1 yr, quarterly for 4.37 million dollars or stock a year(43.7 in 10 years) for cash or stock.

5. The "reported" dilution to earnings is 14.7% per share, the reality is less than.

Check the math, buy the stock, post your thoughts.
