Boilerplate from the CRUS proxy:

"The cost of this solicitation will be borne by the Company. The Company has retained Morrow & Co., Inc. to aid in the solicitation of proxies from shareholders, banks and other institutional nominees. The Company will pay Morrow & Co. $25,000 for these services, plus expenses. In addition, the Company may reimburse brokerage firms and other persons representing beneficial owners of shares for their expenses in forwarding solicitation materials to such beneficial owners. Original solicitation of proxies by mail may be supplemented by additional mailings, telephone, telegram or personal solicitations by directors, officers or employees of the Company or its representatives. No additional compensation will be paid for any such services." (ed.: emphasis added)

This is not unusual. The content, tone, and qualifications of the caller are another matter.
