Ned,

You have to be skeptical at this point. So far, the
company has not delivered on anything. However, I
think the company should get into the heating business
because they have blown so much hot air in the last
6-8 months.

What's really incredible is the amount of DD done by
several people and yet here we stand with nothing
materializing.

Ned, Glad to hear you've joined in and you enjoyed the tussle between Joe Sing and myself. As amusing as it was, it took a lot out of me ... but, not as much as all this waiting.

I can't tell you the sequence of events and how they have played out or why. Theoretically, financing was arranged back in February for the two pretzel deals and the mall-based auto chain. When the time approached in the end of March (and the 29-store auto franchise appeared) everything got thrown up into the air. For me, this process has been very disconcerting as, I am sure, it has for all investors.

Trust in the company management would be VERY different if they had kept to the schedule although it's rumored (if the deals close) the loan figures will be VERY rewarding.

Nothing happened to the auto deals. There are two auto deals (actually three or more). They're all still waiting. Refer to letter to shareholders of June 25, 1998.

Auto deals:
1. Nearly 30 auto stores (mall-based).
2. 27-store franchise in Toronto.
3. Goodyear stores (I don't believe they have ever closed).
4. Other individual owners to join MIS which I doubt would have happened because the individual owners would only do it AFTER it's clear that MIS will be a LARGE company with large-scale purchasing power.

that's all from me, don't hold your breath but I do think we're at the doorstep.
