I believe that the percentage ownership at the time the sale is initiated is what is the deciding factor in reportability--not the percentage remaining after the sale. Most entities dont split hairs anyway, they report even if they are slightly under the 5% cutoff, because the shares outstanding is a fluid #, and usually they go by what is reported in the latest quarterly report. Dilution, stock buybacks, option exercising by officers--all can change the total shares outstanding at any given day.
