Daddy: The letter for Morgan asking share holders to buy into the private placement was posted here on the thread. To the best of my knowledge it is the only information available re: his private placement. Based on this letter, there is no valid business reason to invest. The letter states quite clearly that the only thing that will happen with the money will be completion of some SEC filing (10Q or K) and operational money for 4 months during which another reverse merger will be attempted. Morgan having been so successful in his last attempt, should not assume that four months will be sufficient, furthermore, as an investor, one should ask one selves what kind of business am I buying into. Add to that the reality that if an operating (profitable) company is the reverse merger partner, the money put in will be greatly diluted. This money seems to be for the sole reason of letting Morgan "doing deals". He was not good at that in the past, smart investors will assume he might not be too good at that in the future either.
